Terms of Service

1. Acceptance

By accessing or using xpntl ("the Service"), operated by xpntl ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

xpntl is a source-available issue tracking and project management platform designed for human and AI engineering teams. The Service includes the web application at app.xpntl.dev, the MCP server, the CLI tool, and associated APIs.

3. Accounts

You must provide accurate, complete registration information.
You are responsible for maintaining the security of your account credentials, harness keys, and session tokens.
You must be at least 16 years old to use the Service.
One person or legal entity per account. Accounts cannot be shared.
You are responsible for all activity that occurs under your account, including actions performed by coding agents authenticated with your harness keys.

4. Acceptable Use

You agree not to:

Violate any applicable laws or regulations
Infringe on the intellectual property rights of others
Transmit malware, viruses, or destructive code
Attempt to gain unauthorized access to the Service or other accounts
Use the Service to send spam or unsolicited messages
Interfere with or disrupt the Service or its infrastructure
Reverse engineer, decompile, or disassemble the Service except as permitted by the license
Use the Service for competitive intelligence or benchmarking without written consent

5. Workspace Data

You retain ownership of all content you create in the Service ("Your Data").
We do not claim intellectual property rights over Your Data.
You grant us a limited license to host, store, and transmit Your Data solely to provide the Service.
We may access Your Data to provide support, diagnose issues, or comply with legal obligations.
You can export Your Data at any time via the API.

6. Plans and Billing

Free plans are provided at no cost with stated limitations.
Paid plans are billed per seat on a monthly or annual cycle.
Pro and Ultra plans include a 30-day free trial. No credit card is required to start a trial.
Pricing changes will be communicated at least 30 days in advance.
Refunds are handled on a case-by-case basis. Contact billing@xpntl.dev.

7. Self-Hosting

Self-hosted deployments are governed by the Business Source License 1.1 (BSL-1.1). A valid license key is required for all deployments. Free tier license keys are available at no cost.

8. Agent and MCP Usage

Coding agents authenticated via harness keys operate under the same terms as human users.
You are responsible for all actions performed by agents using your harness keys.
All agent actions are logged in the audit trail.
We reserve the right to rate-limit or suspend agent access that degrades service quality.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access to the Service. Ultra plans include an SLA with specific uptime commitments. We will provide reasonable notice of planned maintenance.

10. Termination

You may terminate your account at any time from Settings.
We may suspend or terminate accounts that violate these Terms.
Upon termination, you have 30 days to export Your Data before it is permanently deleted.

11. Limitation of Liability

To the maximum extent permitted by law, xpntl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, regardless of the theory of liability. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice in the Service at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
